Set up a Polish sp. z o.o.: costs, timing and common mistakes in 2026
A practical guide to a Polish sp. z o.o. for German companies planning incorporation, local operations and a resilient team.
Polish sp. z o.o.: registration fees and total setup costs
| Position | Orientation 2026 | Assessment |
|---|---|---|
| Minimum share capital | 5,000 PLN | Capital requirement, not a mere administrative fee |
| KRS registration via S24 | 250 PLN | For the use of the electronic contract template |
| KRS registration via PRS/individual articles of association | 500 PLN | Standard fee for individual design |
| Announcement of a KRS entry in the Monitor Sądowy i Gospodarczy | 0 PLN | Publication requirement abolished since November 29, 2025 |
| PCC on the articles of association | 0,5 % | Have the assessment basis professionally determined |
| Power of attorney | If applicable, 17 PLN | Only in the relevant cases |
| Notary, translation, consultation | Variable | Dependent on shareholders, articles of association, and documents |
Older overviews still mention 350 PLN for the standardized S24 registration from 250 PLN court fee plus 100 PLN announcement. Since November 29, 2025, this addition is outdated for entries in the entrepreneur register of the KRS. Even the current court fee of 250 PLN only covers a narrow range: For the site operation, accounting, payroll, banking, contracts, insurance, recruiting, management, and, if applicable, office or production space are particularly relevant.
S24 or individual articles of association?
S24
S24 works with electronic contract templates. This can be useful if the ownership structure is simple, all required persons can sign electronically, and no special governance rules are needed. The Polish justice portal points out that subsequent changes via S24 are only possible as long as no notarial changes have been made.
Individual formation via PRS and notary
The individual route is usually more sensible if veto rights, special majorities, intra-group governance, complex shareholdings, contributions in kind, or specific disposal rules are intended. The higher initial investment can prevent later restructuring.

How long does the formation really take?
Pure judicial review is only part of the timeline. Biznes.gov.pl lists the processing deadlines as:
- S24 application: basically one day,
- PRS application: generally seven days,
- after correction of formal deficiencies: again up to seven days,
- with additional clarification of facts: possibly longer.
For the productive site, planning should be done with a broader critical path:
- Target image and structural decision,
- Shareholder and managing director documents,
- Articles of association and signatures,
- KRS registration,
- NIP, REGON, beneficial owners and e-Doręczenia,
- Bank account and payment approvals,
- Accounting, tax and payroll,
- Employment contracts and recruiting,
- operative powers of attorney and reporting,
- start of business operations.
Since January 1, 2025, for companies newly registered in KRS, the address for electronic deliveries is taken into account in the registration process. Therefore, it belongs in the setup plan and not on a later residual list.
Seven typical mistakes
- The company is built before the business model. Then articles of association, PKD, powers of attorney, or location later do not match the operation.
- S24 is chosen only because of the low price. The model articles of association are not suitable for every group and governance logic.
- Registration duration is confused with operational readiness. A KRS entry does not yet ensure payroll, bank approval, or management.
- The managing director is appointed but not operational. Signing rules, residency questions, bank KYC, and internal limits are missing.
- Recruiting starts too late. Roles that are particularly difficult to fill must be validated in parallel with the establishment.
- Responsibility is distributed among several advisors. Without an overall plan, dependencies between legal, tax, banking, personnel, and operations remain invisible.
- No handover point is defined. The location starts, but no one knows when and with which documents the internal management takes over.
What the KPA formation package covers
The package “Company Formation plus Detailed Market Analysis” costs 11,900 euros net. The previous Poland Launch Check for 4,900 euros net will be fully credited. KPA does not provide legal or tax advice, but coordinates the target concept, location and personnel assumptions, specialist partners, formation roadmap, and operational connectivity.
FAQ
Is 5,000 PLN enough to start the location?
No. That is the legal minimum share capital, not the actual setup or liquidity budget.
Does a notary have to be involved for a Sp. z o.o.?
In a standardized S24 formation, the articles of association can be concluded electronically using a template. An individual statute is notarially prepared and registered via PRS.
Which tax applies to the company?
The regular CIT rate is 19 percent. A rate of 9 percent can apply under legal conditions for certain small or newly founded companies and not for capital gains. The specific application belongs in tax consulting.
Is registration guaranteed within one day?
No. The mentioned period concerns the judicial processing of complete S24 applications. Document errors, queries, and subsequent steps can extend the overall time.
When should recruiting begin?
As soon as the role profile, location corridor, and budget are sufficiently reliable. For critical roles, feasibility should already be checked before the binding location decision.
